Bonds are debt securities (financial instruments) through which an investor (bondholder) lends money to a bond issuer for a fixed period of time at a pre-determined interest rate. The bond issuer is obliged to pay the investors an interest rate or coupon at regular intervals (e.g. quarterly) and to repay the principal amount of the bond (originally borrowed funds) to the investors upon maturity.
When will the subscription for LATRAPS bonds start?
The subscription period starts on 26 November 2024 at 10:00 AM and ends on 9 December 2024 at 14:30 PM EET.
Subscription order collection deadline might differ depending on the investor’s chosen bank. Please do not delay your subscription until the last minute.
Who can invest in LATRAPS bonds?
LATRAPS bond issue is open to any retail or institutional investor who has opened a securities or investment account at a Baltic commercial bank or financial institution. This is a type of financial account designed for holding securities and making payments when buying and selling securities. Often the most convenient option is to open a securities or investment account with a bank which is used for daily banking.
What is the price and maturity of LATRAPS bonds?
Investors will be able to purchase up to 8000 LATRAPS bonds with a total nominal value of EUR 8 million and a nominal value of EUR 1000 per bond.
The price of each bond is EUR 1000, corresponding to 100% of the nominal value of the bond. The minimum investment amount per investor is 1 bond or EUR 1000 with a fixed annual interest rate of 7.5% and a maturity of four years. The bond maturity is 4 years, with the principal amount to be repaid in a single payment at the end of the term.
What is the interest rate on the LATRAPS bonds?
Under its bond issuance, LATRAPS offers a fixed interest rate of 7.5% per annum, with interest payments made quarterly to investors. At maturity, the company is also obligated to repay the investor the original principal amount of the investment.
What does a fixed interest rate mean?
The interest rate is the rate paid by the issuer to the investor in accordance with the Information Document. This rate is fixed and does not change until the maturity date of the bonds.
What does the Information Document mean?
The Information Document is an alternative to a prospectus, prepared in accordance with regulatory requirements and containing essential information about the securities offering. In cases where the issuer plans to raise no more than EUR 8 million, the issuer is exempt from the obligation to prepare a prospectus under Article 16.1 of the Financial Instruments Market Law.

How will LATRAPS use the funds raised through the bond issue?
The proceeds from LATRAPS bond offering will be invested in the development of the ASNS Ingredient project, the largest pea protein isolate production facility in Northern Europe, located in Latvia. Construction of the facility begins in December 2024.

How can I subscribe for LATRAPS bonds?
The minimum investment amount is 1 bond or EUR 1,000 for one investor.
Once the decision to invest in the bonds has been taken, a subscription (purchase) order must be submitted to your bank. If you do not have an investment or securities account, you must contact your bank to open one.
The subscription process may vary slightly among banks. Visit your bank's website, navigate to the investment section, and explore the available options. Some banks may require manual subscription, either through a phone call or by completing a written request.
Are taxes withheld from received interest (coupon) payment?
Tax withholding is determined by the regulations of the country where the issuer is located, in this case, Latvia.
For Latvian residents, no tax is withheld if the individual holds the securities in an investment account. Otherwise, there will be personal income tax withheld in the amount of 20%.
For individuals who are residents of other countries (e.g., Lithuanian and Estonian citizens), the issuer will withhold 20%, unless a certificate of tax residence is submitted to the issuer.

ASNS Ingredient will be the first pea protein isolate production facility in Latvia and Northern Europe. The planned production capacity is 69,000 tons, with the potential to increase to 120,000 tons. Initially, 98% of the output will be directed to export markets.
